Effective Date: 16 April 2026 (Version 1.0). These Terms of Service govern access to and use of the Jurisphere platform and legal delivery service operated by Jurisphere Inc. (501 Silverside Road, Suite 105 #5545, Wilmington, DE 19809, USA). By accessing or using the service, you agree to these Terms. If you have a separately executed Master Service Agreement (MSA), the MSA controls to the extent of any conflict.
Overview
Jurisphere operates an AI-enabled legal workflow platform that connects customers with independent, licensed attorneys and provides infrastructure to streamline legal service delivery.
- The service includes an AI-assisted drafting and review workflow and, where applicable, same-business-day return timelines (subject to scope and conditions).
- Attorneys on the platform are independent contractors, not employees, partners, or agents of Jurisphere.
- Each attorney is solely responsible for the quality, accuracy, timeliness, and compliance of their legal advice and deliverables.
- Customer orders are carried out under the applicable attorney's terms, these Terms, the Privacy Policy, and any applicable MSA.
Scope and Limitations
Jurisphere is not a law firm and does not provide legal advice. All legal services are provided by independent attorneys.
- The legal services engagement is between the customer and the selected attorney under the attorney's terms of engagement.
- Jurisphere does not direct or influence attorney professional judgment, conflict decisions, or attorney time spent on matters.
- AI outputs are intermediate drafts only and are subject to mandatory attorney review before delivery.
- Service scope, availability, and methodology may evolve over time.
Service Tiers and Delivery
Jurisphere offers tiered service levels and pricing as described on jurisphere.ai or in an applicable MSA.
- Scope, deliverable formats, turnaround expectations, and attorney allocation methodology are defined by the selected tier at order time.
- Tier descriptions may be updated with reasonable prior notice to existing customers.
- Any same-day service timeline depends on complete customer instructions, in-scope matter type, and absence of extraordinary events.
- Jurisphere's ISO 27001:2022 and SOC 2 Type II certifications apply to the platform and security infrastructure, not to independent attorney practices.
Customer Obligations and Representations
Neither Jurisphere nor any engaged attorney is liable for errors or omissions caused by inaccurate or incomplete customer inputs.
The customer must indemnify and hold harmless Jurisphere and its affiliates against third-party claims, losses, and costs arising from customer fraud, willful misconduct, or material misrepresentation.
By using the service, the customer represents and agrees that:
- It has legal authority to accept these Terms (and to bind its entity, if applicable).
- All submitted information, documents, and instructions are accurate, complete, and lawfully held.
- The service will be used only for lawful purposes.
- The customer is responsible for verifying deliverable suitability before reliance.
- The customer will not use the platform for illegal activity, fraud, ethics-rule circumvention, or reverse engineering.
Onboarding and Identity Verification
- Jurisphere may collect and verify customer/entity identity information for attorney onboarding and legal compliance, including AML/KYC obligations.
- Customers must provide accurate, current information and promptly update material changes.
- If required information is missing, inaccurate, or fraudulent, Jurisphere may suspend or terminate access without liability.
- Identity documentation is stored and disposed of according to applicable legal and regulatory requirements.
Fees and Payment
- Platform and service fees are set by applicable pricing terms and may be specified in an MSA.
- Fees are exclusive of applicable taxes, which remain the customer's responsibility.
- Most matters are fixed-fee; Jurisphere may collect deposits, retainers, or payments for administrative convenience.
- Payment is generally due before matter commencement unless otherwise agreed in writing.
- Overdue amounts accrue interest at 1.5% per month or the maximum lawful rate, whichever is lower.
- Jurisphere may suspend service for overdue accounts.
Intellectual Property
- Jurisphere and its affiliates retain all rights in the platform, including software, workflows, AI systems, and related intellectual property.
- Customers receive a limited, non-exclusive, non-transferable, revocable license to use the platform during the term.
- Deliverable IP vests in the customer upon full payment, subject to third-party rights and attorney professional obligations.
- Customers may not modify, reproduce, distribute, sublicense, reverse engineer, or transfer platform access.
- Customers must notify Jurisphere of known or suspected infringement of Jurisphere IP.
Confidentiality
- Independent attorneys owe professional confidentiality duties under applicable rules.
- Jurisphere contractually maintains equivalent confidentiality standards for customer information.
- Customer confidential information is disclosed only on a need-to-know basis for service delivery, legal compliance, or with written authorization.
- Recipients are bound by equivalent confidentiality obligations and appropriate security controls.
These confidentiality obligations survive for five years after termination, or longer where required by law or professional obligations.
Data, Platform Inputs, and AI Training
Subject to these protections, the customer grants Jurisphere a limited license to process customer data to provide, maintain, support, and improve the service, including internal analytics and quality assurance.
Before such internal use, Jurisphere applies anonymization and de-identification measures using industry-standard technical and organizational controls.
Customer personal data is processed under applicable U.S. federal and state privacy laws, including CCPA/CPRA where applicable.
The customer retains ownership of all submitted data and documents.
- Platform inputs are not shared with other customers.
- Platform inputs are not made available to foundational model providers.
- Platform inputs are not used to train or improve third-party foundational models.
- Platform inputs are not shared with third-party vendors to improve their own products or services.
- Platform inputs are available only to attorneys engaged on the relevant matter.
Document Handling and Retention
- Jurisphere may archive matter files at the direction of the engaged attorney for legally required retention periods.
- Data deletion may occur when account deactivation and a verified deletion request are both completed, and attorney retention duties are satisfied.
- Customer data is protected with technical and organizational safeguards aligned with Jurisphere security certifications.
Privacy
Jurisphere processes personal data only as needed to fulfill these Terms and as required by applicable U.S. federal, state, and local data laws.
If customers submit third-party personal data, they warrant they have a lawful basis and required notices/consents.

Limitation of Liability
- Jurisphere's aggregate liability is capped at subscription and platform fees paid to Jurisphere in the 12 months before the claim.
- Legal fees paid or payable to independent attorneys are excluded from that liability cap calculation.
- Jurisphere is not liable for indirect, incidental, special, consequential, or punitive losses.
- Jurisphere is not liable for losses from inaccurate customer inputs, pre-review reliance on AI drafts, independent attorney conduct, or events outside reasonable control.
Nothing excludes liability that cannot lawfully be excluded, including fraud and fraudulent misrepresentation.
Warranties and Disclaimer
- Jurisphere provides the service with reasonable care and skill and in material accordance with these Terms.
- Except as expressly stated, the platform and service are provided on an 'as is' and 'as available' basis.
- To the maximum extent permitted by law, all implied warranties (including merchantability, fitness, title, and non-infringement) are disclaimed.
- Jurisphere does not guarantee uninterrupted, error-free, or secure service or any specific legal/commercial outcome.
Conflicts of Interest
Attorneys on the platform are independent practitioners and do not operate as a shared firm under applicable professional conduct rules.
Each attorney is solely responsible for conducting conflict checks before accepting a matter.
Jurisphere does not supervise or validate attorney conflict-checking processes.
Term and Termination
- These Terms remain in effect from the effective date until terminated.
- Either party may terminate for convenience on 30 days' written notice.
- Jurisphere may suspend or terminate immediately for material breach, unlawful use, false/fraudulent information, or compliance risk.
- On termination, platform access ends immediately and surviving clauses remain in force.
Complaints and Right to Lodge Complaints
Complaints about service quality, fees, or attorney conduct should be sent in writing to contact@jurisphere.ai.
Jurisphere aims to acknowledge complaints within 2 business days and resolve them within 15 business days.
Complaints about attorney professional conduct may also be submitted to the relevant state bar authority.
Dispute Resolution
- Parties will first attempt good-faith negotiation of disputes.
- Unresolved disputes are submitted to binding arbitration under AAA Commercial Arbitration Rules.
- Arbitration is before a single arbitrator seated in Delaware, in English, with final and binding award enforcement rights.
- Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction where needed.
To the fullest extent permitted by law, each party waives the right to jury trial for disputes arising out of or relating to these Terms.
Governing Law
These Terms are governed by Delaware law, without regard to conflict-of-law principles. Subject to the arbitration clause, parties submit to the exclusive jurisdiction of Delaware state and federal courts for disputes not subject to arbitration.
Changes to Terms
Jurisphere may amend these Terms and will post the current version at jurisphere.ai.
For material changes, Jurisphere provides at least 14 days prior notice to the customer's registered email.
Continued use after the notice period constitutes acceptance of amended Terms.
If a change conflicts with an active executed MSA, that amendment does not apply to that customer unless agreed in writing.
General

- These Terms, together with the Privacy Policy and any applicable MSA/order form, form the complete agreement on this subject matter.
- If a provision is invalid or unenforceable, the remaining provisions remain effective.
- Failure to enforce a right is not a waiver unless in writing by an authorized Jurisphere representative.
- Customers may not assign rights without Jurisphere's prior written consent; Jurisphere may assign in merger/acquisition/reorganization scenarios.
- These Terms do not create partnership, agency, joint venture, franchise, or employment relationships.
