Jurisphere - Terms of Engagement
1.Overview
1.1 Platform model
Jurisphere, Inc. and its subsidiaries ("Jurisphere") operate a digital marketplace that connects customers ("Customers") with independent, licensed lawyers.
1.2 The Solution
Jurisphere's platform (the "Solution") provides an AI-enabled information collection and document assembly service. Based on Customer inputs and specifications, the Solution prepares materials and facilitates review by an independent licensed attorney prior to delivery of the legal service to the Customer.
1.3 No law firm relationship
Every legal service provided through Jurisphere is reviewed by an independent licensed attorney prior to delivery, without exception. Jurisphere is not a law firm and does not provide legal advice. All legal advice is provided solely by the independent attorney engaged for the review. The attorneys are not employees, partners, or agents of Jurisphere.
1.4 Governing documents
Orders are carried out in accordance with:
- The individual lawyer’s terms of engagement
- These Terms of Engagement
- Jurisphere’s Privacy Policy
- Applicable laws and professional regulations
1.5 Acceptance
By accessing or using the Solution, the Customer agrees to be bound by these Terms as of the date of acceptance (the "Effective Date").
2.Scope and Limitations
2.1 Lawyer responsibility
Each legal service delivered through the platform is the sole responsibility of the independent licensed attorney who reviews and delivers it.
2.2 Marketplace engagement
Under its marketplace model, Jurisphere engages vetted lawyers or law firms with relevant jurisdictional or subject-matter expertise. Jurisphere will inform the Customer of the lawyer selected.
The Customer remains directly responsible for legal fees and expenses payable to the lawyer, even where invoices are issued to or payments are processed by Jurisphere for administrative convenience.
2.3 Independent judgment
Each lawyer exercises independent professional judgment and is fully accountable for the quality, accuracy, timeliness, and compliance of the legal advice and deliverables.
2.4 Service evolution
The scope, availability, and methodology of the services may change over time. Jurisphere accepts no liability for changes to the Solution or for claims arising from Customer use beyond the expressly agreed purpose.
3.Identification and Compliance
3.1 Customer information
Jurisphere may be required to collect and verify Customer identification, ownership, and company documentation on behalf of lawyers on the platform, both at onboarding and during the engagement. The Customer must provide accurate and up-to-date information and promptly notify Jurisphere of any changes. Information is stored and deleted in accordance with applicable law.
3.2 Termination
If required information is missing, inaccurate, or misleading, Jurisphere may terminate the engagement with immediate effect.
4.Payment
4.1 Fees
The Customer pays:
- A fixed subscription or platform fee to Jurisphere for access to and use of the Solution; and
- Separate legal fees for each legal matter handled by an independent licensed lawyer.
Jurisphere does not retain any portion of legal fees, but may collect payment on behalf of the lawyer.
4.2 Pricing
Unless otherwise agreed in writing, subscription fees are those published by Jurisphere.
4.3 Invoicing
Subscription fees are invoiced in advance and payable within fourteen (14) days of the invoice date.
4.4 Fee changes
Jurisphere may adjust fees upon thirty (30) days' written notice, effective from the next billing cycle.
4.5 Late payments
Overdue amounts may accrue applicable statutory interest and reasonable collection costs.
5.Intellectual Property
5.1 Deliverables
Intellectual property rights in legal work delivered to the Customer belong to the individual lawyer or their firm, unless otherwise agreed.
5.2 Platform IP
All rights in the Solution, including software, workflows, technical infrastructure, features, outputs, and related intellectual property, remain the exclusive property of Jurisphere or its affiliates.
5.3 License
Jurisphere grants the Customer a limited, non-exclusive, revocable license to use the Solution during the term solely to obtain legal services.
5.4 Restrictions
The Customer may not modify, reverse-engineer, sublicense, transfer, or remove proprietary notices or logos from the Solution.
6.Confidentiality
6.1 Lawyer confidentiality
Each lawyer engaged through Jurisphere owes the Customer professional duties of confidentiality under applicable bar rules, professional conduct standards, and governing law in the lawyer's jurisdiction.
6.2 Jurisphere confidentiality
Jurisphere is not a law firm and is not subject to lawyer regulation, but treats all Customer information as strictly confidential and applies robust information security and access controls.
6.3 Permitted disclosures
Unless otherwise agreed, Jurisphere may share information internally, with engaged lawyers, or with third-party advisors only as necessary to:
- Perform the engagement
- Comply with legal or regulatory obligations (including KYC/AML)
- Manage disputes
All recipients are bound by equivalent confidentiality obligations. Disclosures required by law may be made without further notice.
7.Document Handling and Data Use
7.1 Retention
Jurisphere may be required to retain matter data on behalf of lawyers to comply with professional, regulatory, or legal obligations. Retention periods may extend for several years where required by law.
7.2 Deletion
Data may be deleted earlier only where legally permitted and where the responsible lawyer has satisfied independent archiving obligations.
7.3 Data isolation
Customer matter data:
- Is not accessible to other customers
- Is not shared with foundational model providers
- Is not accessible to lawyers unrelated to the matter
- Is not used to improve third-party or cloud-provider products
7.4 Customer Data license
The Customer retains ownership of Customer Data.
Subject to these Terms and Jurisphere's Privacy Policy, the Customer grants Jurisphere a worldwide, non-exclusive, royalty-free right to use Customer Data solely to provide, maintain, secure, and improve the Solution and Jurisphere's services. Personal data will be anonymized or redacted where required. This section survives termination.
8.Privacy
Jurisphere is the controller of personal data processed in connection with the engagement and processes such data in accordance with applicable data protection laws and Jurisphere's Privacy Policy.
9.Limitation of Liability
Jurisphere's total liability under these Terms shall not exceed the total subscription fees paid by the Customer to Jurisphere in the twelve (12) months preceding the event giving rise to the claim.
Legal fees paid or owed to lawyers are excluded from this cap. Jurisphere is not liable for indirect, consequential, or punitive damages.
10.Complaints
10.1 Lawyer complaints
Customers may request review of lawyer conduct or fee compliance by applicable professional or disciplinary bodies. Such bodies generally do not assess the quality of legal work.
10.2 Platform complaints
Complaints regarding the Solution must be submitted in writing to [email protected].
11.Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which the relevant Jurisphere contracting entity is established. Courts in that jurisdiction shall have exclusive jurisdiction unless otherwise required by law.
12.Changes to Terms
Jurisphere may amend these Terms at any time. The current version will be available on the Jurisphere website or platform.
