Please read the TERMS & CONDITIONS (“Terms”, “Terms and Conditions”, "Terms of Use") carefully before registering, accessing or using the Services offered through the web application at https://jurisphere.ai/ or other related subdomains as may be officially utilized by Us from time to time (“the Jurisphere(.ai) Platform”).

These terms and conditions are a legal contract between the user of the Services or the entity that You represent (“You”, “Your”) and  Coresphere100 Technologies Pvt. Ltd., an Indian private limited company incorporated under the Companies Act, 2013, with its registered office at No. 16026, 16th Floor, Tower Oakwood, Mahagun Mywoods, Greater Noida – 201306, Uttar Pradesh, India (“Jurisphere”, “Company”, “We” “us”).

You agree and acknowledge that You have read the Terms and conditions set forth below and also agree to our Privacy Policy and additional Terms and conditions as applicable to You which form a part of these Terms & Conditions. If You do not agree to these Terms & Conditions or do not wish to be bound by these Terms & Conditions, You may not use the Services and/or immediately terminate the Services and/or contact us to terminate Your subscription to the Services. If You represent an entity, organization, or any other legal person, You confirm and represent that You have the necessary power and authority to bind such entity, organization, or legal person to these Terms. The usage of the term “this Agreement” herein refers to the Terms and Conditions as a comprehensive agreement including the Privacy Policy and other Terms as agreed by You.

By registering on the Jurisphere Platform and accessing the Services of Jurisphere Platform, You represent and warrant the following:

The Company in its sole discretion may inform You about changes in the Services by giving You a notice through any mode of communication.

The Jurisphere Platform and its contents are provided on an "as-is" and "as available" basis for information purposes. You understand that any data provided on the Jurisphere Platform may be sourced through public websites including but not limited to decisions, statutes, orders and notifications made available through government websites. They do not constitute advice and should not be relied upon in making any decision. None of the information or documents provided through the Jurisphere Platform creates a lawyer-client relationship. The Company does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Jurisphere Platform. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at Your sole risk.

Please note that when interacting with the Jurisphere platform, you are interacting with an AI and not a human. Any output from the Jurisphere platform should be verified by a qualified lawyer.

The Jurisphere Platform may contain links to third-party websites, resources, and advertisers (collectively, “Third Party Content”). The Company does not control, endorse, sponsor, recommend or otherwise accept responsibility for any of this Third Party Content. You are expected to adhere to the principles of fair use when engaging with copyrighted materials. Fair use allows for the limited use of copyrighted content without the need for explicit permission from or payment to the copyright holder. You must exercise fair use responsibly, considering the nature of the copyrighted work, the purpose and character of the use, the amount and substantiality of the portion used, and the effect of the use upon the market for the original work. Any unauthorized use that exceeds the boundaries of fair use may constitute copyright infringement and could lead to legal consequences.   1. License

Upon Your payment of the full License Fee, inclusive of all applicable taxes, insurance, and other associated costs, or in case You are provided access to Jurisphere Platform for free on a free trial basis, You shall be granted a non-exclusive, non-transferable, non-sublicensable License to access and use the Services on Jurisphere Platform. This License is subject to the Terms and conditions of this agreement and any additional Terms specified by us. When You use the Jurisphere Platform, You are granted a limited, non-exclusive, non-transferable, non-sublicensable right to use the content and materials on Jurisphere Platform and its Services in connection with Your normal, non-commercial, use of the Services. You may not remove, alter or obscure any proprietary or copyright notice, labels, or marks on the Jurisphere Platform or access the Jurisphere Platform in order to build a competitive product or build a product using similar ideas, features, expressions, functions or graphics of the Jurisphere Platform and copy the ideas, features, functions or graphics of the Jurisphere Platform.

  1. Prohibitions on Usage

You are only permitted to use the Service for lawful purposes and in compliance with the terms. By using the Service, You agree not to:

  1. Customer Solicitation Policy

By choosing to receive emails and notifications for regular updates and marketing purposes, You agree to receive additional communications and solicitations from us. Unless You inform our representatives that You wish to opt out of receiving additional communications and solicitations from The Company, You will be considered as agreeing to continue receiving emails and phone solicitations from The Company.

  1. Intellectual Property Rights

Intellectual Property means and includes the Jurisphere Platform which includes the Services available on it, the software code of the Jurisphere Platform, the design, structure, selection and feel and arrangement of the content of the Jurisphere Platform and the trademarks, logos and Services marks displayed on the Jurisphere Platform. All rights, title, and interest in and to the Intellectual Property, including but not limited to any copyrightable works, ideas, expressions, and information contained therein, are owned by Jurisphere and and are protected by copyright, patent and trademark laws and other various Intellectual Property rights either in the favor of Jurisphere or third parties from whom the appropriate permissions have been taken under applicable laws. You are not permitted to use the Intellectual Property including the Jurisphere logo without the express prior written consent of the Company. You are prohibited from selling any content on the Jurisphere Platform created and/or disseminated by us.

We don’t hold copyright over Input Data or Output Data that is associated with the Services on the Jurisphere Platform as defined in the additional terms. The Company respects the intellectual property rights of others. The Company prohibits You from using the Services on the Jurisphere Platform that infringes the Copyright of any third party. Our approach is to address any assertion that the content shared on the Service violates the copyright or other intellectual property rights ("Infringement") of any individual or entity. If You are the owner of a copyright or are authorized to act on behalf of one, and You have reason to believe that a copyrighted work has been reproduced in a manner that constitutes copyright infringement, please send Your claim via email to [email protected].

  1. Discontinuation of Operations

The Company reserves the right to cease the operation of the Jurisphere Platform and all its Services at any time, without prior notice to You, exercising its sole discretion.

  1. Indemnification and Limitation of Liability

In no event shall The Company, its officers, shareholders, subsidiaries, associate companies, directors, employees and agents, partners, co-branders, licensors, licensees, consultants, or contractors be liable to You or any third party for any special, incidental, indirect, consequential or punitive damages or losses whatsoever, or damages for loss of data or profits, goodwill, and/ or other intangible loss, whether or not foreseeable and regardless of whether The Company has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with Your use of, or access to Jurisphere Platform. You shall indemnify and hold harmless The Company, their officers, agents and employees ("Indemnified Parties"), from and against any claim, demand, damages, obligations, penalty, losses or actions (including reasonable attorneys' fees) made by any third party against the Indemnified Parties or imposed against the Indemnified Parties, due to or arising out of Your or Your affiliate's or relative's: (a) breach of these Terms, the Privacy Policy and/or any other policies; or (b) violation of any applicable law, rules, regulations; or (c) violation of the rights (including infringement of intellectual property rights) of a third party or Jurisphere; or (d) unauthorized, improper, illegal or wrongful use of Jurisphere Platform (including by You or by any person, including a third party, whether or not authorized or permitted by You). This indemnification obligation will survive the expiry or termination of these Terms and/or Your use of the Service.

  1. Term & Termination

These Terms will remain in force unless terminated as specified below. The Company reserves the right to immediately and at its sole discretion terminate Your access to, or use of, the Services of Jurisphere Platform or any part thereof if You violate any of the obligations, responsibilities, or covenants outlined in these Terms. Upon termination, these Terms will come to an end, with the exception of provisions expressly designed to survive termination or expiration. Notwithstanding anything to the contrary in these Terms, upon the termination of Your access to or use of the Services, any outstanding amounts or monies owed in connection with Your use of or access to the Services will become immediately due and payable. Upon the expiration or termination of this Agreement, all rights granted to You under this Agreement shall forthwith terminate and immediately revert to The Company and You shall discontinue all use of the Jurisphere Platform.

  1. General Terms and Conditions

  1. Infringements

The Company shall have the right, in its sole discretion, to prosecute lawsuits against third parties for infringement of The Company's rights over the Jurisphere Platform and its Services.

  1. Force Majeure

Neither party shall be liable for any loss or delay resulting from any force majeure event, including acts of God, fire, natural disaster, terrorism, labor stoppage, war or military hostilities, or inability of carriers to make scheduled deliveries, and any delivery date shall be extended to the extent of any delay resulting from any force majeure event. Notwithstanding anything contained in this clause, there shall be no waiver of any liability for payment of outstanding License Fee.

  1. Notices

Any notice required to be given pursuant to this Agreement shall be sent by the Company to You by general notification on the Jurisphere Platform or through electronic mail at Your registered email address and You may send us the email at [email protected] or in writing and mailed by certified or registered mail at the provided address, return receipt requested. The notice would be considered to be delivered when sent successfully. Either party may change the email address or the address provided to which notice or payment is to be sent by written notice to the other party pursuant to the provisions of this paragraph.

  1. Jurisdiction and Arbitration

The relationship between You and The Company shall be governed by the laws of India, without regard to conflict of law principles. Subject to other provisions in this Clause, courts in Mumbai, Maharashtra, India, shall have exclusive jurisdiction over all issues arising out of these Terms or the use of Jurisphere Platform. In the event of any disputes or differences arising under these Terms, You shall first attempt to write to us at [email protected] so as to resolve such disputes and differences amicably and through mutual discussions and negotiations. Any dispute, controversy, or claim arising out of or relating to or in connection with the breach, termination or validity of these Terms or in relation to use of Jurisphere Platform, which are not resolved through mutual discussions within 90 working days from the date of receipt of notice by us as provided for above, shall be finally settled by an arbitration tribunal which shall consist of one (1) arbitrator chosen by The Company in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, Maharashtra. The proceedings of the arbitration will be in English. And, the expense of the arbitration will be borne by the respective parties. In case of any dispute, the decision of the arbitrator will be final.

  1. Agreement Binding on Successors

This Agreement shall be binding upon and shall inure to the benefit of the parties hereto, their heirs, administrators, successors and assigns.

  1. Entire Agreement

This Agreement which includes the Privacy Policy available at Jurisphere Platform comprises the entire agreement between You and The Company and supersedes any prior agreements pertaining to the subject matter contained herein.

  1. Waiver

No waiver or failure to enforce any provision of these Terms shall in any way be construed to be a present or future waiver of such provision nor affect our ability to enforce any provision thereafter.

  1. Severability

If, for any reason, a court of competent jurisdiction finds any provision of the Terms, or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Terms shall continue in full force and effect.

  1. Assignment

You cannot assign or otherwise transfer these Terms, or any rights granted hereunder to any third party. Our rights under these Terms are freely transferable by us to any third party without the requirement of seeking Your consent.

  1. Independent Contractors

By engaging with us, You understand that neither the Company nor You can bind each other into a contract and both the parties act as Independent Contractors.

  1. Separate Individual Agreement

The Company may enter into a Separate Individual Agreement with You in writing in addition to this Agreement. If there is any provision in the Separate Individual Agreement that is in conflict with the provision of this Agreement, the provisions of the Separate Individual Agreement shall prevail over the Terms of this Agreement to the extent of the conflict.

  1. Changes to the Above Terms

We reserve the right, at The Company’s sole discretion, to modify or replace these Terms at any time. We will make reasonable efforts to provide a notice upon any new Terms taking effect. What constitutes a change will be determined at our sole discretion. By continuing to access or use the Jurisphere Platform after those revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, please stop using the Jurisphere Platform and its services.
